Seller Representations and Warranties
Seller represents and warrants the following:
- Seller is the sole owner of the vehicle with full right and authority to sell and transfer title.
- The odometer reading is true and accurate to the best of Seller's knowledge and has not been altered.
- All known material defects, prior accidents, flood or water damage, salvage or branded title history, and mechanical issues have been disclosed in writing (see attached disclosures).

- Seller has not entered any other agreement to sell the vehicle.
- All required safety equipment is present and operational to Seller's knowledge.
As-Is Sale and Warranty Disclaimer

- Seller disclaims all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose, to the maximum extent permitted by Mississippi law and the UCC.

Odometer Disclosure
Seller certifies that to the best of Seller's knowledge the odometer reading listed above reflects the actual mileage the vehicle has been driven, unless one of the following is checked:
- The odometer reading reflects the amount of mileage in excess of its mechanical limits.
- The odometer reading is not the actual mileage. Warning - Odometer Discrepancy.
Federal law (and Mississippi requirements) requires odometer disclosure on title or separate statement. A separate Mississippi-compliant odometer disclosure form is attached or completed concurrently.
Title, Taxes, Registration, and Transfer (Mississippi Specific)
- Seller shall sign over the Mississippi title (or out-of-state title) to Buyer and deliver all required documents at closing.
- Buyer is responsible for paying all applicable Mississippi sales/use tax (generally 5% of net purchase price after trade-in), title fees (approximately $9-$15), registration fees, and any county privilege or other fees at the county tax collector's office.
- Buyer shall complete titling and registration within the time required by Mississippi law (typically promptly after purchase to avoid penalties).
- Seller shall provide a bill of sale if requested or required to support the declared purchase price for tax assessment.
- Risk of loss and title pass to Buyer only upon delivery of the vehicle and receipt of full payment by Seller, unless otherwise agreed in writing.
- Any manufacturer warranties or extended service contracts transfer only as provided by their terms and law.
Delivery, Possession, and Documents

Default and Remedies
If Buyer fails to complete the purchase or pay the balance, Seller may retain the deposit as liquidated damages and resell the vehicle.
If Seller fails to deliver marketable title or the vehicle, Buyer may terminate, recover the deposit, and pursue actual damages or specific performance as permitted by Mississippi law.
The prevailing party in any enforcement action is entitled to reasonable attorneys' fees and costs where allowed.
General Provisions
- This Agreement represents the entire understanding between the parties. No modification is valid unless in writing and signed by both parties.
- Governing Law: This Agreement is governed by the laws of the State of Mississippi. Any disputes shall be resolved in the courts of the county where the vehicle is located or where Seller resides.
- Severability: If any provision is held invalid or unenforceable, the remainder remains in full force.
- Counterparts and Electronic Signatures: This Agreement may be signed in counterparts and by electronic means, each of which is deemed an original.
- Time is of the essence for all dates and contingencies.
- Notices shall be in writing and delivered to the addresses or emails above.
