Contingencies
This agreement is contingent upon the following (check all that apply; otherwise sale is unconditional):
- Buyer obtaining financing approval on acceptable terms within [[Financing Contingency Days e.g. 7]] business days. If not obtained, buyer may terminate and receive refund of deposit.

Representations and Warranties of Seller
Seller represents and warrants:
- Seller is the sole lawful owner of the vehicle and has full authority to sell.
- The odometer reading is accurate to Seller's knowledge and has not been tampered with.
- All known material defects, accidents, flood damage, or title brands have been disclosed in the attached As-Is Disclosure.

- Seller will deliver clean title, keys, and all documents at closing.
- No other agreements or understandings exist outside this document.
As-Is Sale; Disclaimer of Warranties
The vehicle is sold "AS-IS" with all faults. Seller disclaims all express and implied warranties to the fullest extent permitted by Maryland law, including merchantability and fitness for a particular purpose.

- Buyer accepts the vehicle in its current condition.
- Buyer waives any right to rescind based on condition after delivery except for fraud or breach of express written terms.

Title, Taxes, and Registration
- Seller shall execute all documents required by the Maryland MVA to transfer title free of liens.
- Buyer shall pay all titling fees, 6% excise tax (or current rate), registration, and any local fees.
- Risk of loss passes to Buyer upon delivery and payment in full.
- Seller shall deliver possession only after receipt of full payment and signed documents.
Default and Remedies
If Buyer defaults by failing to pay balance or take delivery, Seller may retain the deposit as liquidated damages and resell the vehicle.
If Seller defaults by failing to deliver clear title or the vehicle, Buyer may recover the deposit plus actual damages or pursue specific performance.
The prevailing party in any dispute shall be entitled to reasonable attorneys' fees and costs as allowed by Maryland law.
General Provisions
- This Agreement constitutes the entire understanding; no modification except in writing signed by both parties.
- Governing Law: State of Maryland. Venue in the county where the vehicle is located or Seller resides.
- Severability: invalid provisions shall not affect the remainder.
- Counterparts and electronic signatures permitted.
- Time is of the essence.
